1. About these terms

These Terms & Conditions ("Terms") govern your access to and use of the website located at dispatchit.me (the "Website") and the messaging services offered through it (together, the "Services"). By accessing the Website or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or the Services.

2. Who we are

The Website and Services are operated by DispatchIt LLC ("DispatchIt", "we", "us" or "our"), a limited liability company organised under the laws of the State of Delaware, United States, with a registered office at 16192 Coastal Highway, Lewes, DE 19958, United States. 3. Use of the website

You may use the Website for lawful purposes only. You agree not to use it in any way that breaches applicable laws or regulations, is fraudulent or has a fraudulent purpose or effect, or seeks to harm or attempt to harm any person. We may update, suspend or withdraw all or part of the Website without notice, and we do not guarantee that the Website, or any content on it, will always be available or uninterrupted.

4. The DispatchIt platform

DispatchIt provides a platform for sending application-to-person messages, including one-time passwords (OTP) and verification codes, transactional notifications, and marketing or advertising campaigns, across supported channels such as SMS, voice and messaging applications. The specific features, limits and commercial terms applicable to your use of the platform are set out in the separate service agreement or order form agreed between you and DispatchIt. Where those documents conflict with these Terms, the service agreement prevails for platform use.

5. Acceptable use

When using the Services, you agree that you will not, and will not permit others to:

You are responsible for obtaining and maintaining all consents and opt-ins required to send messages to your recipients, and for honouring opt-out requests.

6. Accounts & security

If you create an account or receive API credentials, you are responsible for keeping them confidential and for all activity that occurs under them. You must notify us promptly at info@dispatchit.me if you suspect any unauthorised use of your account or credentials.

7. Fees & payment

Where the Services are provided on a paid basis, fees, billing cycles and payment terms are set out in your service agreement or order form. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for paying. Late payments may result in suspension of the Services following reasonable notice.

8. Intellectual property

All intellectual property rights in the Website, the platform and their content (excluding content you provide) belong to DispatchIt or its licensors. These Terms do not grant you any right to use our trademarks, logos or branding without our prior written consent. You retain all rights in the content and data you submit through the Services.

9. Availability & support

We aim to keep the platform available and to provide responsive support, and we may publish service-level commitments in your service agreement. Planned maintenance will, where practical, be carried out to minimise disruption. Support hours and response targets are as described on the Website or in your agreement.

10. Disclaimers

The Website and, except as expressly stated in a service agreement, the Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that message delivery will be uninterrupted or error-free, as delivery depends in part on third-party networks and carriers outside our control.

11. Limitation of liability

To the fullest extent permitted by law, DispatchIt will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Website or Services. Our total aggregate liability arising out of or relating to the Services will be limited as set out in your service agreement or, where no such agreement exists, to the amounts paid by you to DispatchIt in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless DispatchIt and its officers, employees and agents from any claims, damages, losses or expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your failure to obtain required recipient consents.

13. Term & termination

These Terms apply while you use the Website or Services. We may suspend or terminate your access if you breach these Terms or your service agreement, or where required to protect the platform or other users. Provisions that by their nature should survive termination — including sections 8, 10, 11, 12 and 15 — will continue to apply.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "last updated" date above and, where changes are material, take reasonable steps to notify you. Your continued use of the Website after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory consumer protections available to you under the law of your place of residence.
